This agreement is made between you (referred to as the student) and Kourtney Lynn, LLC (referred to as the Trainer). It serves to confirm our mutual understanding regarding the course materials, which are intended for personal use only, as outlined in the terms and conditions herein. INTELLECTUAL PROPERTY: The Company provides you with the Products & Programs solely for your personal, non-commercial use, and you agree that you will not use such proprietary content in any way whatsoever except for use in compliance with this Agreement. By taking the Clarity Catalyst course, does not grant you rights to teach any materials from this program in any way. You must go through the certification program to be granted rights. You agree that the Clarity Catalyst contains proprietary content, materials, and information that is owned by the Company (Kourtney Lynn, LLC) and/or its licensors and is protected by copyright, trademark, and other applicable intellectual property laws. Duplicating, sharing or uploading Product & Program files to sharing sites is considered stealing, and the Company will prosecute such misconduct to the fullest extent permitted by law. To be clear, all the information and material provided to you by the company are confidential and proprietary intellectual property and belong solely and exclusively to the company, and may ONLY be used by you as authorized by the company, and the reproduction, distribution, and sale of these materials by anyone but the company is strictly prohibited. Furthermore by agreeing to the terms and conditions, you agree that if you violate or display any likelihood of violating, any of your agreements contained in this paragraph the company and / or the other Program participant (s) will be entitled to injunctive relief to prohibit any such violations to protect against the harm of such violations. You will not use the Product, Programs or the Content available in the Product & Programs in a manner that constitutes an infringement of the Company’s rights or that has not been authorized in writing by the Company. More specifically, unless explicitly authorized in this Agreement, you may not modify, copy, reproduce, republish, upload, post, transmit, rent, lease, loan, translate, sell, create derivative works, exploit, or distribute in any manner or medium (including by email or other electronic means) any material from the Kourtney Lynn, LLC Products or Programs. Company trademarks, service marks, graphics, and logos used in connection with the Kourtney Lynn, LLC Product and Programs are common law trademarks or registered trademarks of the Company. You are granted no right or license with respect to any of the aforesaid trademarks. PAYMENT POLICY: (Only for PAID students) By joining the Clarity Catalyst program and agree to the terms and conditions, you are responsible to pay for Services given and for providing us with a valid credit card or other payment methods during the agreement payment arrangement if one was chosen. You authorize Kourtney Lynn, LLC to charge your credit card, debit card, ACH, as indicated, as payment for participation in the Program. Furthermore, there are no refunds AFTER the course has begun. The Company reserves the right to pursue collections and place Program/Member benefits on hold and/or not provide a final product or services. If payment is not received as agreed. You agree that you are responsible to satisfy the program payment, regardless of whether you attend or not. PRIVACY AND CONFIDENTIALITY: Kourtney Lynn, LLC, respects your privacy and must insist that you respect the privacy of other people who participate in the Program. You are not to share or disclose any personal information obtained during class or peer calls. THIRD-PARTY MATERIALS AND WEBSITES: The Company may provide links to third-party materials and websites and establish a Facebook group as a convenience to you and other Participants. These third-party materials and websites are not part of the Program and they may be either withdrawn or terminated at any time without any liability on the part of the Company. You further agree that you will not use any third-party materials and websites in a manner that would infringe or violate the rights of any other party and that the Company will not be liable for your improper use of third-party materials and websites.
